SmartForms Terms of Service

1. About SmartForms
SmartForms is a configurable digital forms and business-process platform provided by Duxni Tech LLC (“Duxni Tech,” “we,” “us,” or “our”).
SmartForms can support data collection, guided forms, conditional logic, attachments, document generation, workflows, approvals, automation, integrations and related business processes depending on the selected plan and agreed configuration.
These Terms govern the use of SmartForms by the organization or person purchasing, subscribing to or otherwise contracting for SmartForms services (“Customer”).
2. Customer Agreement
By purchasing, subscribing to, ordering or using SmartForms, the Customer agrees to these Terms and any applicable order, proposal, statement of work or other agreement with Duxni Tech.
If a separate signed agreement conflicts with these Terms, the signed agreement controls to the extent of the conflict.
3. Plans and Services
SmartForms capabilities vary by plan.
Plans may include Starter, Standard, Professional, Business, SmartForms App or other offerings introduced by Duxni Tech.
Plan descriptions, limits, included capabilities and pricing may be displayed on smartforms.tech or specified in the Customer's order.
Features may include limits relating to:
- active forms;
- submissions;
- languages;
- domains;
- branding;
- integrations;
- AI-enabled capabilities;
- administrative users;
- workflows;
- storage destinations;
- support;
- usage.
Customer-specific exceptions must be explicitly approved by Duxni Tech.
4. Setup and Customization
Some SmartForms plans include or require one-time setup, configuration or customization services.
Setup may include:
- form configuration;
- branding;
- business rules;
- conditional logic;
- output configuration;
- domain configuration on the SmartForms side;
- supported integration configuration.
Customer-side environment work is not included unless expressly stated.
5. Customer Environment
Customers are responsible for systems, accounts, licenses, access rights and environments they own or control.
Examples include:
- domain registrars;
- DNS;
- websites;
- Microsoft 365;
- SharePoint;
- OneDrive;
- Google Workspace;
- Google Drive;
- identity providers;
- networks;
- storage;
- third-party systems.
Duxni Tech may provide separately purchased setup or professional services for supported customer environments.
6. Customer Responsibilities
Customers are responsible for:
- providing accurate requirements;
- reviewing and approving form content and workflows;
- ensuring they have authority to collect requested information;
- maintaining their own privacy notices and terms where required;
- obtaining required notices, permissions and consents;
- maintaining appropriate licenses and third-party accounts;
- protecting credentials and administrative access;
- complying with laws and regulations applicable to their business and use of SmartForms.
7. End-User Forms
People completing a Customer's SmartForm are interacting with the Customer's business process.
Customer-facing privacy notices, terms, disclosures and consents appearing within a Customer SmartForm are the Customer's responsibility unless otherwise expressly agreed.
SmartForms or Duxni Tech branding may appear according to the selected plan.
8. Customer Data
Customer submission data remains subject to the Customer's rights and responsibilities. SmartForms processes Customer submission data as necessary to provide the configured service and is not intended to serve as the Customer's permanent business-record repository by default.

9. Intellectual Property
Duxni Tech retains all rights in the SmartForms platform, shared software, platform architecture, reusable components, technology and related intellectual property.
Customers retain rights in their business content, branding, submitted materials and Customer-owned data, subject to the permissions necessary for Duxni Tech to provide the service.
Custom configuration of SmartForms does not transfer ownership of the underlying SmartForms platform or shared technology.
10. Acceptable Use
Customers may not use SmartForms:
- unlawfully;
- to violate another person's rights;
- to distribute malware or harmful code;
- to interfere with platform security or availability;
- to attempt unauthorized access;
- to abuse platform resources;
- for fraudulent or deceptive activity.

11. Third-Party Services
SmartForms may connect to third-party services.
Duxni Tech is not responsible for outages, changes, restrictions, licensing requirements or failures originating in third-party services outside Duxni Tech's reasonable control.
12. AI-Enabled Features
Certain SmartForms features may use AI or automated processing.
AI-enabled capabilities:
- may vary by plan;
- may be subject to limits;
- should be reviewed by users where appropriate;
- may require additional terms or costs for custom or unusually high-volume usage.
Customers remain responsible for reviewing outputs used in their business processes.
13. Fees and Payment
Fees are based on the Customer's selected plan, setup requirements, add-ons and other agreed services.
Recurring and one-time charges may apply.
Taxes and third-party charges may apply where applicable.
Unless otherwise stated in the applicable order, recurring subscriptions continue until cancelled according to the applicable plan terms.
14. Changes to Forms and Services
Plans may include a defined number of Basic Changes.
Changes that materially alter form structure, workflow, logic, outputs or integrations may be treated as Major Modifications and may require additional fees.
Duxni Tech will communicate separately billable work before performing it when reasonably practicable.
15. Availability and Changes
Duxni Tech may update SmartForms to improve functionality, security, performance or maintainability.
We may modify features where reasonably necessary while seeking to avoid materially reducing paid functionality without appropriate notice.
No service can be guaranteed to operate without interruption.
16. Suspension
Duxni Tech may suspend access where reasonably necessary for:
- security threats;
- unlawful use;
- material breach;
- nonpayment;
- abuse;
- protection of customers or the platform.
17. Termination
Either party may terminate according to the applicable subscription, order or agreement.
After termination, Customer access and configured services may end.
Customers remain responsible for maintaining copies of business records that must be retained.
18. Disclaimers
SmartForms is a business technology platform.
Unless expressly agreed in writing, Duxni Tech does not provide legal, medical, accounting or regulatory advice through SmartForms.
Customer-specific compliance obligations remain the Customer's responsibility.
19. Limitation of Liability
To the maximum extent permitted by applicable law, liability will be subject to the limitations stated in the Customer's applicable agreement, order or statement of work.
Where no separate limitation is agreed, Duxni Tech will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of SmartForms to the extent permitted by law.
20. Governing Law
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles.
21. Changes to These Terms
Duxni Tech may update these Terms.
Material changes will be reflected by an updated “Last Updated” date and, when appropriate, additional notice.
